1. Acceptance of Terms

By accessing, browsing, registering for, or using the Ezmeer website, application, Chrome extension, or any associated service provided by MS Agency ("Ezmeer", "we", "us", or "our"), you confirm that you are at least 18 years of age and legally capable of entering into binding contracts. If you are entering into this agreement on behalf of a business, company, or legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must immediately cease all access and use of our platform and services.

Ezmeer provides a dual-capability platform consisting of software automation tools and dedicated, contract-backed manual operator services for online sellers and dropshipping businesses:

3. Account Registration & Responsibilities

To access our software features, license management, and service dashboard, you must register for an account by providing accurate, complete, and updated information, including a valid email address and legal contact information. You are solely responsible for maintaining the confidentiality of your login credentials, API keys, and license keys. You agree to notify us immediately at support@ezmeer.com upon becoming aware of any unauthorized access to or compromise of your account. Ezmeer cannot and will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Subscription Plans & Billing

Access to our software automation tools is offered under recurring subscription plans. We offer three distinct pricing tiers:

• Starter Plan ($20/month): Includes up to 200 orders exported per billing month, Google Sheet synchronization, tracking auto-match engine, and 1 device registration per license key.
• Pro Plan ($39/month): Includes up to 1,500 orders exported per billing month, Google Sheet synchronization, tracking auto-match engine, automated eBay tracking dispatch push, 2 devices per license key, and priority technical support.
• Agency Plan ($79/month): Includes unlimited orders exported per billing month (no order caps), multi-account and team seat support, Google Sheet synchronization, eBay tracking push, up to 5 devices per license key, and dedicated account support.

5. Acceptable Use Policy

You agree to use the Ezmeer software and services strictly for legitimate business operations in compliance with all applicable local, national, and international laws. Specifically, you agree not to:

• Resell, sublicense, lease, rent, redistribute, or commercially exploit access to your Ezmeer account, license key, or extension files to third parties without prior written consent.
• Circumvent, tamper with, reverse-engineer, or manipulate the device-binding license authentication system, order-limit counters, or API rate limits.
• Use automated scripts or scrapers to overwhelm, disrupt, or attack Ezmeer servers, databases, or infrastructure.
• Submit false, misleading, or fraudulent payment confirmations, transaction IDs, or billing credentials.
• Utilize the service in connection with counterfeit goods, illegal merchandise, or transactions violating eBay, Google, or supplier marketplace acceptable use policies.

6. Service Limitations & Uptime

Each subscription tier is subject to specific monthly order quotas (200 orders for Starter, 1,500 orders for Pro, unlimited for Agency). Once a plan's monthly order limit is reached, automated order exports will pause until the start of the next billing cycle, unless you upgrade your tier or enable pay-as-you-go overage billing ($0.01 per additional order). While we strive to maintain 99.9% uptime for our server infrastructure and sync APIs, Ezmeer is provided on an "as is" and "as available" basis. We do not warrant that service will be uninterrupted, error-free, or entirely free from latency caused by third-party marketplace API updates, supplier portal changes, or internet service provider outages.

7. Intellectual Property Rights

All rights, title, and interest in and to the Ezmeer platform, software, Chrome extension source code, algorithms, user interfaces, branding, logos, trademarks, and documentation are and shall remain the exclusive intellectual property of MS Agency and its licensors. Your subscription grants you a non-exclusive, non-transferable, revocable license to use the software solely for your internal business fulfillment needs during an active subscription term. You retain all ownership rights in your proprietary store data, customer orders, and connected spreadsheet records.

8. Termination & Cancellation

You may cancel your SaaS subscription at any time through your dashboard or by emailing our billing support team. Cancellation takes effect at the end of the current billing cycle, and you will retain access until that period concludes. Ezmeer reserves the right to immediately suspend or terminate your account and revoke active license keys if you violate these Terms, engage in fraud, or abuse our infrastructure. Manual services (Order Processing, Product Hunting, Welcome Deal) are governed by the specific termination, delivery, and refund terms contained within their respective signed Service Agreements.

9. Limitation of Liability

To the maximum extent permitted by applicable law, neither Ezmeer, MS Agency, nor its owners, employees, or contractors shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, lost revenue, lost sales, data loss, supplier fulfillment delays, or marketplace account penalties (including eBay defects or suspension) resulting from your use of or inability to use the software or services. In no event shall our total aggregate liability for all claims arising under or related to these Terms exceed the total amount actually paid by you to Ezmeer in the thirty (30) days preceding the incident giving rise to liability.

10. Governing Law & Jurisdiction

These Terms & Conditions, and any dispute, controversy, or claim arising out of or in connection with them or their subject matter, shall be governed by, construed, and interpreted in accordance with the substantive laws of the Islamic Republic of Pakistan. You irrevocably agree that the courts located in Pakistan shall have exclusive jurisdiction to hear and determine any suit, action, or proceeding arising out of or relating to these Terms.

11. Changes to Terms

We reserve the right to revise, update, or modify these Terms & Conditions at our discretion to reflect operational enhancements, statutory requirements, or changes in payment processing. When material updates occur, we will post the revised Terms on this page, update the "Last Updated" timestamp at the top, and notify active subscribers via their registered email address or dashboard notice. Your continued use of the platform following the posting of updated Terms constitutes your binding acceptance of the changes.
